Service terms
The terms for MICOTHA's managed AI services.
These terms apply to the managed AI services MICOTHA provides. Your proposal sets out your specific outcome, scope, tier, and price; these terms apply alongside it. By subscribing to and paying for a MICOTHA service, you agree to the following.
1. The service
MICOTHA provides the managed AI service set out in your proposal: the outcome, scope, and tier you approve. We diagnose the problem, build or assemble the solution, run it for you, and support it, with results on your dashboard.
2. Fees
You pay the one-time setup fee (where applicable) and the recurring monthly fee shown in your proposal, in the stated currency shown to you. Your first payment covers the setup fee plus the first month. The monthly fee then recurs each month until cancelled.
3. Usage passed through
Third-party running costs (for example AI, telephony, and advertising) are passed through to you at supplier cost, with no markup, shown itemised. You set a spend cap you control, and we alert you before anything beyond it.
4. Payment and suspension
Fees are due as billed. If a payment fails, the service is paused (we do not run it on credit); we retry and remind you, and it resumes in full on payment. Your data is kept for a 30-day window to resume or export.
5. Your data, and no lock-in
You own your data and the automations we build for you. We process personal information in line with our Privacy Notice. You may cancel with 30 days' notice; after the 30-day window your data is deleted or de-identified on request, and we keep invoices, signed agreements, and audit records for as long as the law requires.
6. Results are projections
Any figures we show (recovered revenue, savings, ROI, timelines) are projections based on your own numbers and industry benchmarks. They are not guarantees.
7. Liability
To the fullest extent the law allows, our total liability is limited to the fees you paid in the three months before a claim, and we are not liable for indirect or consequential loss.
8. The full agreement
For larger or custom engagements, we provide a full Service Agreement to sign, which confirms your final scope (including any extras you request) and the complete terms, consistent with these terms.
9. Governing law
These terms are governed by the law of the Republic of South Africa.
